Terms of Use
Please read these terms carefully before using ReRideBikes.
Effective Date: March 29, 2025
1. Acceptance of Terms
By accessing or using the Platform, you agree to these legally binding Terms. If you do not agree, do not use the Platform.
You must be at least 18 years old.
2. Platform Role & Legal Status
ReRide Bikes LLC ("Company," "we," "us," or "our") operates as a licensed auctioneer under Ohio law and a marketplace intermediary connecting Buyers and Sellers.
2.1 Seller Auction Agreement
By submitting a listing on the Platform:
- The Seller enters into a binding Auction Agreement with ReRide Bikes LLC
- The Seller authorizes the Company to market, list, and conduct the auction on their behalf
- The Seller agrees to adhere to all Platform rules, fees, timelines, and policies
2.2 Platform Role
The Company:
- Does NOT take title to goods
- Does NOT take possession of goods (unless explicitly stated)
- Acts as agent for the Seller in conducting auctions
ALL SALES ARE BETWEEN BUYER AND SELLER.
3. User Accounts & Verification
Users must create an account and provide accurate information.
3.1 Identity Verification Requirement
All Sellers are required to complete identity verification prior to listing items, including:
- Providing a valid, government-issued photo ID (e.g., driver's license or passport)
- Matching identity information with payment and account details
The Company reserves the right to:
- Request additional verification documentation
- Use third-party verification services
- Deny or revoke Seller privileges if verification fails
3.2 User Responsibilities
You agree to:
- Provide accurate and current information
- Maintain security of your account
- Accept liability for all activity under your account
3.3 Account Enforcement
We reserve the right to:
- Verify identity at any time
- Suspend or terminate accounts
- Refuse service at our discretion
4. Auction Rules
4.1 Binding Bids
All bids are irrevocable and legally binding. By placing a bid, you authorize the Platform to charge your payment method if you win.
4.2 Auction Format
- All auctions are conducted with a $1 starting bid
- All auctions are reserve auctions, meaning the highest bid at closing is subject to Seller acceptance or rejection in accordance with these Terms
- Auctions are timed events and may include a "soft close" feature extending bidding if bids are placed near closing time
4.3 Seller Withdrawal of Listings
Sellers may withdraw listings prior to the first bid being placed. Once a bid has been placed:
- Sellers may only withdraw a listing with Company approval
- Withdrawals after bidding may result in penalties, fees, or account action
4.4 Bid Retraction
Bid retractions are not allowed except in extraordinary circumstances approved by the Company.
4.5 Auction Cancellation
We may cancel listings due to errors, fraud, or policy violations.
5. Fees & Payment Terms
5.1 Buyer's Premium
An 8% buyer's premium is added to the final bid and is non-refundable.
5.2 Seller Fee
A 3% seller fee is deducted from final proceeds.
5.3 Payment Authorization
By bidding, you:
- Authorize immediate charge upon winning
- Agree funds may be held in escrow or trust accounts
5.4 Payment Processing, Trust Holding & Distribution
- Payments are processed through Stripe or affiliated payment processors
- Funds are placed in a designated trust or escrow account upon successful checkout
- Funds are held to facilitate secure transaction completion and dispute resolution
5.5 Payout Timing
- Seller payouts are initiated after Buyer acceptance of the item
- Funds will be distributed to the Seller within 15 days of an accepted final bid, subject to fraud checks, disputes, or compliance reviews
5.6 Bid Authorization Hold
By placing a bid, Buyers authorize the Platform to place a 10% authorization hold (based on the current bid amount or a predefined amount) on their payment method.
- This hold is not a completed charge unless the Buyer wins the auction
- If the Buyer does not win the auction, the hold will be released in accordance with the payment processor's timelines
- If the Buyer wins, the held amount will be applied toward the final purchase amount
5.7 Non-Payment Forfeiture
If a winning bidder fails to complete payment:
- The 10% authorization hold may be captured and retained by the Company as liquidated damages
- The Buyer may be subject to account suspension or permanent ban
- Additional collection actions may be pursued
5.8 Escrow Release Conditions
Funds are released when:
- Buyer confirms acceptance, OR
- The inspection period expires without dispute
Funds are held until:
- Buyer confirms acceptance, OR
- 48 hours after confirmed delivery (whichever occurs first unless dispute filed)
6. Shipping & Delivery
6.1 Preferred Logistics Partner
The Company's preferred logistics partner for bicycle shipments is BikeFlights. BikeFlights services may be integrated directly into the checkout process for label generation, packaging, and shipping coordination.
For shipments conducted through BikeFlights:
- Shipping labels and instructions will be provided to the Seller
- Any claims for loss, damage, or delay must be filed directly with BikeFlights in accordance with their policies
- The Company is not responsible for carrier-related issues
6.2 Seller Shipping Obligations
Sellers must ship items within the following timeframes:
- Private Shipping (Buyer & Seller Arranged): Must ship within 3 business days of acceptance of the final offer
- BikeFlights Shipping (with provided box): Must ship within 5 business days of receiving the shipping box
All shipments must include valid tracking information uploaded to the Platform.
6.3 Private Shipping Agreements
If Buyer and Seller agree to arrange shipping outside of BikeFlights:
- All communication must occur through the Platform messaging system
- Parties must still comply with Platform fulfillment timelines
- The Company is not responsible for disputes arising from privately arranged shipping
6.4 Risk of Loss & Liability
Risk of loss transfers from Seller to Buyer upon shipment unless otherwise required by law.
The Company is not liable for:
- Shipping damage
- Carrier delays
- Lost or stolen items
6.5 Failure to Ship
Failure to meet shipping deadlines may result in:
- Transaction cancellation
- Account penalties or suspension
- Financial liability or withholding of funds
7. Inspection & Acceptance
7.1 Inspection Period
Buyers have 2 business days (48 hours) from confirmed delivery to inspect the item and either accept or report an issue.
7.2 Acceptance
If no issue is reported within the 48-hour inspection period:
- The item is deemed accepted
- Funds will be released according to payout terms
7.3 Valid Reasons to Deny Acceptance
Buyers may only deny acceptance for the following reasons:
- The item is stolen or suspected to be stolen
- The item was damaged in shipping (must be claimed through BikeFlights where applicable)
- The item is materially misrepresented from the listing description
For shipping damage claims:
- Buyers must retain all original packaging and shipping materials
- Failure to retain packaging may result in denial of the claim by the carrier or the Company
7.4 Dispute Submission Requirements
To open a valid case, the Buyer must:
- Send written notice via email to the Company within 48 hours of delivery
- Provide supporting documentation (photos, description of issue, etc.)
Failure to meet these requirements will result in automatic acceptance of the item.
8. Post-Auction Outcomes & Second Chance Offers
8.1 No-Bid Auctions
If an auction closes with no bids, the listing may be:
- Relisted at Seller discretion, or
- Moved to a "Second Chance" or direct-offer marketplace
8.2 Seller Rejection & Counteroffers
In limited cases and at Company discretion, Sellers may reject the final bid and submit a counteroffer. If this occurs:
- The item may be placed on a Second Chance page
- Interested bidders may accept or negotiate offers
8.3 Second Chance Duration
- Second Chance listings remain active for 72 hours
- After 72 hours, listings are automatically archived if no agreement is reached
8.4 Platform Discretion
The Company reserves full discretion to:
- Approve or deny Seller rejection of bids
- Determine eligibility for Second Chance listings
- Remove listings at any time
9. Disputes & Returns
9.1 Valid Disputes
Allowed only for:
- Material misrepresentation
- Non-delivery
- Fraud
9.2 Not Valid
NOT valid reasons for disputes:
- Normal wear and tear
- Subjective dissatisfaction
9.3 Resolution Authority
The Company may:
- Mediate disputes
- Issue refunds from escrow
- Require return shipment
Decisions may be made at the Company's sole discretion.
10. Chargebacks & Payment Disputes
You agree:
- Not to initiate chargebacks after accepting an item
- To resolve disputes through the Platform first
If you initiate a chargeback:
- You are in breach of these Terms
- The Company may recover funds, fees, and legal costs
We reserve the right to:
- Contest chargebacks
- Provide transaction records to payment processors
11. Listing Review & Approval
11.1 Pre-Auction Review & Pending Status
All listings submitted by Sellers are initially marked as "Pending" and are not visible for bidding until reviewed and approved by the Company.
The Company reviews listings for:
- Authenticity of the item
- Accuracy and completeness of description
- Condition representation
- Compliance with platform policies
- Potential fraud or misrepresentation
Listings will only go live for auction after approval by the Company.
11.2 Approval Rights
The Company reserves the right to:
- Approve, reject, or request modifications to any listing
- Delay publication for further review
- Remove listings at any time, including after publication
11.3 No Guarantee of Accuracy
Review and approval by the Company does not constitute:
- Authentication of the item
- A guarantee of accuracy
- An assumption of liability for listing content
Sellers remain solely responsible for the accuracy and legality of their listings.
12. Seller Warranties
Sellers represent:
- Legal ownership or authority to sell
- Accurate descriptions
- No stolen or illegal goods
Violation may result in account termination and legal liability.
13. Prohibited Conduct
Includes but not limited to:
- Shill bidding
- Fraud
- Misrepresentation
- Circumventing Platform fees
14. Limitation of Liability
To the maximum extent permitted by Ohio law:
The Company is NOT liable for:
- User disputes
- Product defects
- Shipping issues
- Lost profits or indirect damages
Maximum liability = total fees paid to Company.
15. Indemnification
You agree to indemnify the Company against claims arising from:
- Your use of the Platform
- Your transactions
- Violations of law or these Terms
16. Governing Law & Venue
Governed by Ohio law.
All disputes must be brought exclusively in Ohio courts.
17. Arbitration
At Company's discretion, disputes may be resolved via binding arbitration.
Users waive jury trial rights where applicable.
18. Electronic Agreement
Electronic acceptance is legally binding.
19. Modifications
We may update Terms at any time.
Continued use = acceptance.
20. Ohio Auction Law Compliance
- Company is a licensed Ohio auction firm
- Acts as agent for Sellers
- Commissions and fees are disclosed
- Auctions comply with applicable Ohio regulations
20.1 Record Retention
In accordance with applicable Ohio law, the Company maintains records of all auction agreements, contracts, and settlement statements for a minimum period of two (2) years. Such records may include:
- Seller agreements and listing contracts
- Buyer transaction records
- Settlement and payout documentation
Records are retained for regulatory compliance, dispute resolution, and legal obligations.
21. Severability
Invalid provisions do not affect remaining Terms.
22. Entire Agreement
These Terms represent the full agreement between you and ReRide Bikes LLC.
